Please read these terms carefully before using Wilcart. By using our platform, you agree to these terms.

Acceptance of Terms

  • By accessing or using Wilcart, you agree to be bound by these Terms of Service and all applicable laws.
  • If you do not agree to these terms, you may not use our platform.
  • We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.
  • You must be at least 18 years old and have the legal capacity to enter into binding contracts.

Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately of any unauthorized access or security breach.
  • One account per business entity. Multiple accounts may result in suspension.
  • We reserve the right to refuse service or terminate accounts at our discretion.

Subscription Plans & Billing

  • Subscription fees are billed monthly or annually based on your selected plan.
  • All fees are in USD and exclude applicable taxes (VAT, sales tax, etc.).
  • Payment is due at the start of each billing cycle. Failure to pay may result in service suspension.
  • You authorize us to charge your payment method automatically for recurring subscriptions.
  • Price changes will be communicated 30 days in advance and apply to the next billing cycle.

Free Trial & Cancellation

  • New users may be eligible for a free trial period (typically 14 days).
  • No credit card required for trial. You will not be charged unless you upgrade to a paid plan.
  • You may cancel your subscription at any time through your account settings.
  • Cancellations take effect at the end of the current billing period. No partial refunds for unused time.
  • After cancellation, you retain access until the end of the paid period, then your account becomes read-only.

Refund Policy

  • We offer a 30-day money-back guarantee for first-time annual subscriptions.
  • Monthly subscriptions are non-refundable after the first payment.
  • Refund requests must be submitted within 30 days of the initial purchase.
  • Refunds are processed to the original payment method within 7-10 business days.
  • Abuse of the refund policy (repeated sign-ups and cancellations) may result in account termination.

Acceptable Use Policy

  • You may not use Wilcart for illegal activities, spam, phishing, or malicious purposes.
  • You may not attempt to hack, reverse-engineer, or disrupt our platform.
  • You may not resell, sublicense, or share your account with unauthorized users.
  • You are responsible for all content and data uploaded to your account.
  • Violations may result in immediate account suspension or termination without refund.

Intellectual Property

  • Wilcart and its content (logos, designs, code, documentation) are owned by us and protected by copyright.
  • You retain ownership of all content and data you upload to the platform.
  • You grant us a limited license to use your content solely to provide our services.
  • You may not copy, modify, or distribute our platform or proprietary materials without permission.
  • Third-party integrations (Stripe, OpenAI, etc.) are subject to their respective terms.

Service Availability & Support

  • We strive for 99.9% uptime but do not guarantee uninterrupted service.
  • Scheduled maintenance will be announced in advance when possible.
  • Support is available via email (support@wilcart.com) with response times based on your plan.
  • We are not liable for service interruptions caused by third-party providers or force majeure events.
  • We reserve the right to modify, suspend, or discontinue features at any time.

Limitation of Liability

  • Wilcart is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for indirect, incidental, or consequential damages (lost profits, data loss, etc.).
  • Our total liability is limited to the amount you paid in the 12 months preceding the claim.
  • You agree to indemnify us against claims arising from your use of the platform or violation of these terms.
  • Some jurisdictions do not allow liability limitations, so these may not apply to you.

Data Privacy & Security

  • We process your data in accordance with our Privacy Policy.
  • You are responsible for backing up your data. We are not liable for data loss.
  • We use industry-standard security measures but cannot guarantee absolute security.
  • You agree to comply with applicable data protection laws (GDPR, CCPA, etc.) when using our platform.

Termination

  • Either party may terminate this agreement at any time.
  • We may suspend or terminate your account for violations of these terms.
  • Upon termination, you lose access to the platform and your data may be deleted after 30 days.
  • Provisions related to liability, indemnification, and intellectual property survive termination.

Governing Law & Disputes

  • These terms are governed by the laws of the State of California, USA.
  • Disputes will be resolved through binding arbitration, not court litigation.
  • You waive the right to participate in class-action lawsuits.
  • If arbitration is unavailable, disputes will be resolved in courts located in San Francisco, CA.
